Chapter 1 General Provisions
Article 1 (Purpose)
These Terms of Use (hereinafter referred to as the "Terms") set out the terms of use for the "Portavia" (hereinafter referred to as the "Service"), a delivery service provided by Growing Eggs Co., Ltd. (hereinafter referred to as the "Company"). All customers who use the Service (hereinafter referred to as the "Users") are deemed to have agreed to these Terms.
Article 2 (Definition)
In these Terms and Conditions, the following terms shall have the following meanings:


(1) [User] means a person who accesses and uses this service.
(2) [Subcontractor] means a third party to which all or part of the business of this
service is entrusted.
(3) [Provided Information] refers to information provided by the User in order to use the
Service.
Article 3 (Application)
These Terms apply to all relationships between our company and users regarding the use of this service. In addition to these Terms, our company may establish various individual regulations (price schedules, delivery conditions, guidelines, etc.) regarding this service. These shall constitute part of these Terms.
Article 4 (Service Contents)
Our company will deliver the parcel entrusted to us by the user to the designated recipient or designated location. Delivery areas, target items, size and weight restrictions, items that cannot be accepted, collection and delivery times, etc. will be in accordance with the standards set by our company.
Article 5 (Contract Formation)
A delivery contract will be established when the user applies for delivery in accordance with the method prescribed by our company and our company accepts the application. Our company may reject the application without prior notice.
Article 6 (Baggage handling restrictions)
We cannot handle the following types of luggage:

(1) Items that violate laws and regulations or public order and morals.
(2) Dangerous materials (explosives, poisonous substances, etc.)
(3) Cash, securities, and documents that are difficult to reissue.
(4) Perishable goods and perishable items.
(5) Other items that we determine are difficult to deliver.


If a user attempts to send a package in violation of the preceding paragraph, our company may refuse or cancel the delivery of the package. Furthermore, if our company suffers damage due to the package, the user shall compensate for the damage.
Article 7 (Fees and Payment)
You will pay for the delivery service in accordance with our fee schedule.
Payment may be made by credit card, bank transfer, or other method designated by our company.
If we discover that you have not paid, we may suspend the service and take legal action if necessary.
Article 8 (Compensation for Damages and Disclaimer of Liability)
If cargo is lost or damaged due to reasons attributable to our company, we will be liable for compensation in accordance with our compensation regulations and will pay compensation up to the actual loss of the cargo.
(However, the amount of compensation will be limited to the amount covered by cargo insurance.)
We are not liable for damage caused by the following reasons:


(1) War, natural disaster, robbery, accident (partially attributable to the other party),
or other force majeure.
(2) User negligence, illegal acts, or provision of false information.
(3) Damage caused by the nature of the contents.

(4) Loss of data related to electronic devices such as computers and mobile phones.

In addition, we shall not be liable for any indirect damages, lost profits, mental damages, etc.
Article 9 (Delays and Non-Delivery)
We will notify you in advance that delivery delays may occur due to weather, disasters, traffic conditions, or other force majeure. If the package cannot be delivered due to the recipient being absent, we will notify the user and may return or dispose of the package after the storage period specified by our company (7 days).
Article 10 (Changes, Suspension, and Termination of Services)
We may change, suspend or terminate all or part of the Service without prior notice in the following cases.

(1) Inspection, maintenance, and updates of the website that operates this service.
(2) Force majeure, such as war, natural disasters, power outages, and system failures.
(3) When unavoidable circumstances arise in the course of our business operations.


Even if any damage occurs to the user as a result of the above, the Company shall not be held liable in any way.
Article 11 (Prohibited matters)
When using this service, users are prohibited from engaging in the following acts.

(1) Actions that violate laws and regulations or public order and morals.
(2) Actions related to or likely to be related to criminal activities.
(3) Actions that provide false information.
(4) Actions that interfere with the operation of the Service or place an excessive load on
the system.
(5) Actions such as unauthorized access, cracking, and reverse engineering.
(6) Actions that send or distribute spam, chain mail, malware, or other harmful programs.
(7) Other actions that the Company deems inappropriate.
Article 12 (Outsourcing of business)
We may outsource all or part of the collection, transportation, storage, delivery, payment processing, customer support, information system operation, and other operations related to the provision of this Service to subcontractors. We may provide users' information to the subcontractors to the extent necessary for the purpose of checking delivery status, tracking packages, and other purposes. In such cases, we will manage such information appropriately in accordance with the Personal Information Protection Act, other relevant laws and regulations, and our privacy policy.
Article 13 (Handling of Personal Information)
We will properly manage users' personal information in accordance with our "Privacy Policy" and will not provide personal information to third parties without the user's consent, except in the following cases:

(1) When required by law.
(2) When cooperation with national or local government agencies is required.
(3) When outsourcing operations to subcontractors such as delivery companies, payment
processors, or system operators.
Article 14 (Termination of Contract)
If the user violates these terms and conditions, we may suspend the provision of the service and terminate the contract without prior notice.
Article 15 (Changes to Terms of Use)
If the Company deems it necessary, the Company may change these Terms of Use without notifying the User. If the User uses the Service after these Terms of Use have been changed, the User will be deemed to have agreed to the changed Terms of Use.
Article 16 (Governing Law and Jurisdiction)
These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. In the event of a dispute regarding the Service, the court with jurisdiction over our head office location shall be the court of exclusive jurisdiction.
